End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User", "End User", "Employee", "You") and Nynedge Software Pvt. Ltd. ("Company", "We", "Us", "Our") regarding your use of the Nynedge HR & Geofence App and associated web and mobile software ("Software", "App", "Service").

By installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree, do not install or use the App.

1. License Grant

Subject to your compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to access and use the App solely for employment-related purposes defined by your employer (the subscribing organization).

You may use the App only as permitted by this EULA, the Privacy Policy, Terms & Conditions, and your organization’s policies.

2. Ownership & Intellectual Property

The App, source code, design, database, and all intellectual property are the exclusive property of Nynedge Software Pvt. Ltd. You only receive permission to use the App—not ownership of any part of it. You may not copy, modify, rent, sell, distribute, or create derivative works from the App. All trademarks, logos, and brand elements remain the property of the Company.

Failure to comply may result in suspension or legal action.

4. Use of Geolocation Services

Some features of the App require location permissions (e.g., geofencing attendance). By using these features, you acknowledge that the App may collect GPS coordinates during check-in/check-out or when geofence events occur. You agree to grant necessary device permissions for accurate functioning. Continuous real-time tracking is not performed unless explicitly configured by the employer. Your employer determines how location data is used for HR purposes.

6. Updates & Modifications

We may release bug fixes, feature updates, security patches, and performance improvements. Your continued use of the App after updates constitutes acceptance. We may discontinue or modify features without prior notice.

7. Privacy & Data Processing

Your use of the App is subject to the Privacy Policy, Data Processing Agreement (DPA), the DPDP Act, 2023 (India), and GDPR (if applicable). Your employer is the primary controller/fiduciary of your HR data. The Company processes your data only on behalf of your employer.

8. Third-Party Services

The App may use third-party tools such as cloud hosting, analytics, and SMS/email providers. We are not responsible for the performance or actions of third-party services, though we ensure they comply with required data protection standards.

9. Termination of License

Your license may be suspended or terminated if you violate the EULA, your employment ends, your employer disables or deletes your account, the subscription expires, or we detect misuse, fraud, or security risks. Upon termination you must stop using the App and we may revoke access immediately. Offline or cached content may no longer function.

10. Disclaimer of Warranties

The App is provided “as is” and “as available”, without warranties of any kind. We do not guarantee uninterrupted operation, accuracy of location data, accuracy of employer-entered HR data, or compatibility with all devices or OS versions.

11. Limitation of Liability

To the maximum extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages. We are not responsible for employment decisions made by your employer. Maximum liability is limited to the subscription fees paid by the employer in the last 3 months.

12. Indemnification

You agree to indemnify and hold harmless Nynedge Software Pvt. Ltd. from any claims, damages, or losses arising from misuse of the App, violation of this EULA, fraudulent or inaccurate submissions, or unauthorized access caused by your negligence.

13. Governing Law

This EULA shall be governed by the laws of India. Any disputes shall be resolved in the courts of Bengaluru.

15. Acceptance

By installing or using the App, you acknowledge that you have read, understand, and agree to be bound by this EULA. If you do not agree, uninstall the App immediately.
