Welcome to the Nynedge HR & Geofence App (“App”). These Terms & Conditions (“Terms”) govern your access to and use of the HRMS software, mobile app, features, and services provided by Nynedge Software Pvt. Ltd. (“Company”, “we”, “us”, or “our”). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, you must discontinue using the service.

2. Acceptance of Terms

By using the Service, you confirm that you have read and understood these Terms, agree to comply with all laws and company policies, and represent that you are authorized to use the App (especially employees using it on behalf of an employer).

3. Scope of Services

Nynedge HR & Geofence App provides features including attendance & geofencing, leave management, payroll/timesheet (if enabled), shift scheduling, HR documentation, admin dashboard and reporting, performance management, and mobile/web access. Features may be added, modified, or removed.

4. User Accounts & Responsibilities

4.1 Account Creation

Users must provide accurate, complete, and updated information. The organization is responsible for managing user access.

4.2 Credentials

Maintain login confidentiality and do not share passwords.

4.3 Authorized Use

You agree not to misuse or abuse the Service, attempt unauthorized access, modify or reverse-engineer the App, upload malware, or falsify attendance or location data.

4.4 Employee Data Responsibility

Organizations are responsible for ensuring a legitimate purpose for data collection, configuring permissions, and complying with applicable laws.

5. Geolocation & Attendance Tracking

When geofencing or location-based attendance is enabled, the App may request GPS/location data. Location access is used at clock-in/clock-out unless configured otherwise. Users must grant location permissions for these features to work. Employers are responsible for how they use location data.

6. Subscription, Payment & Billing

6.1 Subscription Model

The Service may be offered as subscription-based SaaS plans.

6.2 Payment Terms

Fees are payable per selected plan (monthly/annual). Non-payment may result in suspension or termination. Taxes apply as per law.

6.3 Refund Policy

Subscription payments are non-refundable unless specified in a written agreement. A separate Refund & Cancellation Policy can be created if required.

7. Intellectual Property Rights

All content, code, design, and materials related to the Service are owned by Nynedge Software Pvt. Ltd. You may not copy, reproduce, or distribute any part of the App without written permission. The Company grants a limited, non-transferable, revocable license to use the App.

8. Data Protection & Privacy

Your use of the Service is governed by our Privacy Policy. By using the App, you consent to the collection and use of your data as described in the Privacy Policy.

9. Service Availability & Updates

We strive for uninterrupted service but do not guarantee 100% uptime. Scheduled maintenance may occur with prior notice. Features may be updated or discontinued. We are not liable for losses caused by disruptions.

10. Third-Party Services

Some features rely on third-party providers (cloud hosting, SMS gateways, payment gateways). We do not control third-party services and are not responsible for their actions or failures.

11. Termination

11.1 By User or Organization

Users may stop using the App at any time. Subscribers may deactivate users.

11.2 By Company

We may suspend or terminate accounts for policy violations, illegal activities, non-payment, security threats, or misuse. Upon termination, access to data may be restricted.

12. Limitation of Liability

To the maximum extent permitted by law, the Company is not liable for indirect or consequential damages. We are not responsible for employer decisions made using the platform. Geolocation accuracy may vary; we are not responsible for GPS-related issues.

13. Indemnification

You agree to indemnify and hold harmless Nynedge Software Pvt. Ltd. from any claims arising from misuse of the App, violation of these Terms, disputes between employer and employee, or data uploaded/processed via the Service.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes should first be attempted to be resolved by negotiation, then mediation, and finally by courts of the jurisdiction (e.g., Bengaluru / Pune / etc.).

15. Amendments

We may update these Terms occasionally. Continued use constitutes acceptance of updated Terms.
